Notable Experience

 

  • Local counsel to Deutsche Telekom AG in EUR 546 million takeover of GTS Central Europe Group.

  • Advising Rocket Internet in a number of restructurings and corporate matters and on potential acquisition of a startup venture in e-commerce industry (value over 2 million USD).

  • Provided legal advice to a Munich RE reinsurance group on portfolio restructuration in Ukraine.

  • Advised Claas, a world-renowned producer and supplier of agricultural machines with regard to a distribution agreement for use in Ukraine.

  • Advised BSH Hausgeräte, a Ukrainian subsidiary of a world-renowned German domestic appliances producer, on competition matters related to vertical agreements with Ukrainian distributors.

  • Supported BSH Hausgeräte in the lease of about 1,500 sq. m. of office space in Ukraine.

  • Assisted a German investor with holdings in a Ukrainian industrial company to defeat a “raider” attack (unfriendly takeover) mounted by a minority shareholder.

  • Advising on corporate restructuring of German machinery producer subsidiary in Ukraine, including tax, currency control and customs issues for in-kind contributions (cars, equipment, etc) from the representative office to the subsidiary company's charter capital.

  • Provided a legal advice to a German Dax 30 technology company on a merger with a Ukrainian company and on the establishment of a lease-based distribution concept.

  • Advising Wendeln in structuring of sale of vertically integrated agricultural production complex in Cherson region on behalf of a German family office, which is present in Ukraine since 1995.

  • Advised Otto Group on labor dispute and amicable settlement with top management.
